纽约二手房交易:“As-Is”交付到底意味着什么?

在纽约买房,当我们作为买家律师时,买家在过合同的时候经常会问一个问题:我这个房子会以什么样的状况成交给我?这时我们通常会用一个词来解释——“As-is”,也就是“可见即可得”。
你要理解的是,你买的是一个二手房,所以房子的状况不可能像新房那样处处都是新的。你所买到的房子,是以As-is的方式成交,也就是说你看到什么样,它就是什么样。举个例子,比如说墙是脏的,卖家可能不会专门去清洁,就是以目前的样子成交。
那么有没有例外呢?有的,比如你希望卖家在成交前把墙重新刷一遍,这种情况就属于As-is的例外。但这个要求必须在过合同的阶段就提出,并且由双方谈妥,卖家是否接受还需进一步协商。
当然,As-is 的条款并不包括房子里的电器。不管你是买新房还是二手房,冰箱、炉头、微波炉、烤箱这些电器必须要处于“可正常使用”的状态,也就是我们说的“working condition”。
但需要注意的是,有些卖家律师会在合同中加上一条隐藏条款,说卖家不保证电器处于working condition。如果某个电器坏了,他只赔偿你300美金。这时,作为买家你就要仔细考虑了——我是否接受?因为有时一个冰箱坏了,修起来可能远不止300美金。
如果你不坚持电器要保持工作状态,就要思考卖家给的修理赔偿是否合理。这类条款通常需要买卖双方律师再进一步协商。

When buying a property in New York, one of the most common questions buyers ask during contract review is: “What condition will the property be delivered in?” As the buyer’s attorney, we usually explain this using a term: “As-is,” which means “what you see is what you get.”
It’s important to understand that you’re buying a resale property—not everything will be brand new. The property will be delivered in the condition it is currently in. For example, if the walls are dirty, the seller may not clean or repaint them—it’s being sold just as it is.
Are there exceptions to “as-is”? Yes. For instance, if you want the seller to repaint the walls before closing, that becomes an exception to the as-is condition. However, this must be discussed and agreed upon during the contract negotiation phase.
It’s also important to know that “as-is” typically does not apply to appliances. Whether you are buying a new or resale property, appliances such as the refrigerator, stove, microwave, and oven should all be in working condition at the time of closing.
However, some seller attorneys may include a clause in the contract saying the seller doesn’t guarantee appliances to be in working condition. Instead, if something doesn’t work, the seller will offer a $300 credit. At that point, as the buyer, you need to consider carefully—do you accept that? Because sometimes, for example, repairing a refrigerator could cost more than $300.
If you don’t insist on everything being in working order, you have to decide what compensation from the seller is acceptable. This is often something that both attorneys will negotiate in the contract.
