Flip Tax这笔钱谁出?

大家好,最近呢,我们在帮一个买家客户谈购买纽约市的Condo,合同所有条款都谈好了,就卡在一个细节,就是Flip Tax到底谁来付,双方就争执不下了。


那么Flip Tax是什么呢?虽然它的名字上面有一个tax税,但它其实不是一个政府征收的税。它是大楼征收的一个过路的费用。也就是说,如果你要卖房的时候,你把房子卖了,但是你要留一笔钱给大楼,用于大楼的现金储备。比如说他可以用这个钱来刷刷墙啊,装修装修啊,所以它是这样一个情况。


那么Flip Tax呢,它是20世纪70年代的一个产物,主要就是说它防止很多人炒楼,比如说你低价买高价卖。那么它的意思就是说,只要你卖出一次,你都要付这个费用给我们大楼。这样的话呢,防止大家被割韭菜。


那么当然在这个情况下,一般的传统都是卖家来付的。但是这个案子的卖家律师他比较强硬,他就一直要说就是大楼规定谁付就谁付。那我们就说Flip Tax都是这个卖家来付的呀。


最后这个合同谈判就变成了一个大型的普法现场,就是说Flip Tax是什么,以及房地产交易里面到底谁来付。最后的话呢,他同意把卖家需要支付写到合同,我们才签合同的。


所以我们要提醒大家,就是你在签合同之前,一定要做尽职调查,看一下这个大楼它有没有Flip Tax,如果有Flip Tax的话,是谁来付,那么这些都要写在合同里面,我们才能放心的签合同。

Hi everyone, recently we’ve been helping a buyer client negotiate the contract of a condo in New York City. All the terms of the contract were finalized except for one thing — who should pay the Flip Tax. Both sides couldn’t reach agreement on it.


So what is the Flip Tax? Although the name includes the word “tax,” it’s actually not a government-imposed tax. It’s a fee charged by the building — essentially a type of transfer fee. In other words, when you sell your apartment, you must leave a certain amount of money to the building, which goes into the building’s reserve fund. For example, it can be used to repaint walls or renovate common areas. So that’s the general idea.


The Flip Tax originated in the 1970s and was mainly designed to prevent speculative flipping of apartments — buying low and selling high for quick profit. The point of the fee is that every time you sell, you must pay this fee to the building. This way, it protects residents from being taken advantage of.


Traditionally, the seller is the one who pays it. But in our case, the seller’s attorney was very aggressive and insisted that whoever the building designates should pay. We argued that sellers typically pay the Flip Tax.


Eventually, the contract negotiation turned into a large legal education session explaining what the Flip Tax is and who is usually responsible for paying it in real estate transactions. In the end, he agreed to include in the contract that the seller would pay, and only then did our client sign the contract.


So we want to remind everyone that before signing a contract, you must do your due diligence — check whether the condo building has a Flip Tax and, if so, who is responsible for paying it. This shall be clearly stated in the contract, so you can sign with confidence.
